1. Acceptance of Terms

By accessing or using MyLifeLedger — including the MyLifeLedger website (mylifeledger.com), our web app (app.mylifeledger.com), and the MyLifeLedger mobile app (iOS & Android) — you agree to be bound by these Terms of Service ("Terms"). These Terms apply to both products collectively referred to as the "Service."

If you do not agree to these Terms, please do not use the Service. By continuing to use the Service after any updates to these Terms, you accept the revised Terms.

2. Description of Service

MyLifeLedger provides a digital platform — available as a website and iOS/Android mobile app — for organizing personal and household information ("Ledger"). The Service includes:

• A structured ledger for organizing financial accounts, insurance policies, legal documents, and emergency contacts.
• Trustee sharing — the ability to grant designated family members or advisors view access to your Ledger.
• Voice memory capture and story preservation features.
• AI-powered features including Ledger AI guidance and story rewrite assistance.
• Subscription billing managed via Stripe.

3. User Responsibilities & Acceptable Use

You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activities that occur under your account.
• The accuracy and legality of the information you input.

You must be at least 18 years old to use this Service.

5. Subscriptions, Billing & Cancellations

• Billing: The Service is billed on a subscription basis (annual or other available terms). By subscribing, you authorize us to charge your payment method for the initial term and any renewal terms.
• Automatic Renewal: Your subscription automatically renews at the end of each billing cycle unless you cancel before the renewal date.
• Price Changes: We may change subscription prices with at least 30 days' advance notice via email. Continued use of the Service after a price change constitutes your acceptance of the new price.
• Failed Payments: If a payment fails, we will retry and notify you via email. Repeated failed payments may result in a brief grace period followed by a downgrade to the free, read-only tier until payment is resolved.
• Cancellation: You may cancel your subscription at any time via your account settings. Your paid access continues until the end of the current paid period — no partial refunds for unused time.
• Post-Cancellation Data (Free Tier): After your subscription ends, your account is downgraded to a free tier. Your account information and ledger data are retained indefinitely unless you request deletion. While on the free tier, you and your Trustees can continue to access and view your ledger, but you will not be able to make edits. You may export your ledger data at any time.

7. Intellectual Property

Your Data: You retain full ownership of all data you enter into your Ledger ("User Content"). You grant us a limited, non-exclusive license to store, encrypt, and display this data solely to provide the Service to you and your designated Trustees.

Our Platform: The MyLifeLedger software, design, code, brand, and all associated intellectual property are the exclusive property of MyLifeLedger. You may not copy, reproduce, or create derivative works from our platform without our written consent.

8. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

• We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
• We do not guarantee that the Service will meet your specific requirements.
• We are not responsible for data loss caused by your own actions, third-party actions, or events outside our reasonable control.

Force Majeure: MyLifeLedger is not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure outages, cyberattacks, or acts of third-party service providers.

9. Termination

By You: You may cancel your subscription at any time via account settings. Upon cancellation, your account is downgraded to a free, read-only tier. You may request full account deletion at any time by contacting support.

By MyLifeLedger: We reserve the right to suspend or terminate your account immediately if you violate these Terms, use the Service for any illegal or unauthorized purpose, or engage in conduct that harms other users or the integrity of the Service.

Data Export: You may export your ledger data at any time. If your account is terminated by us for a material breach of these Terms, you may forfeit the right to access or export your data.

10. Limitation of Liability

To the fullest extent permitted by applicable law, MyLifeLedger shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of data, loss of profits, loss of goodwill, loss of inheritance, missed insurance payouts, or failure to execute an estate plan — arising out of or relating to your use of the Service.

Our total cumulative liability to you for any claim arising out of or relating to these Terms or the Service is limited to the greater of (a) $100 USD or (b) the total fees you paid to MyLifeLedger in the 12 months immediately preceding the claim.

We are not responsible for any disputes between you and your Trustees regarding information shared via the Service, or for decisions made based on information stored in your Ledger.

11. Indemnification

You agree to indemnify, defend, and hold harmless MyLifeLedger and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your access to or use of the Service.
• Your User Content or any information you submit, transmit, or store through the Service.
• Your violation of these Terms.
• Your violation of any rights of another party.

12. Dispute Resolution

Good-Faith Negotiation: Before initiating any formal dispute proceeding, you agree to contact us at support@mylifeledger.com and attempt to resolve the dispute informally. We will try to resolve any concerns within 30 days.

Binding Arbitration: If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will be conducted in English. The arbitrator's decision is final and binding.

Class Action Waiver: You agree to resolve disputes with MyLifeLedger on an individual basis only. You waive any right to bring or participate in a class action, class arbitration, or representative action.

Exceptions: Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm while arbitration is pending.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions.

For any claims not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Denver, Colorado.

14. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and MyLifeLedger with respect to the Service and supersede all prior agreements.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
• No Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
• No Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction.
• Headings: Section headings are for convenience only and have no legal effect.
